Overview We are hiring!Our client in Uganda is looking for a Corporate Legal Advisor to join their team for a job vacancy within the finance industry.To apply or for more information follow the link below. Responsibilities Company Secretary Duties for all company entities, includIng taking meeting minutes for all group meetings ensuring they are in the right format with clear actions and follow up tracking as well as documenting decisions made. This will also include making sure all company legal documents are updated and correct in light of recent changes or any future changes to the legal entity providing these services.Coordinating Board Meetings – including collating and sharing all relevant board pack materials at least one week ahead of meetings. In addition to present in every board meeting to the board any legal updates or changes that may impact the business in any way that the board members should be aware of.Review all companies corporate governance structures and policies creating a shared file in BOX with all governance related documents in an easy to find format, saved and labelled per company etc.Providing legal advice on company contracts, agreements, loans and any other legal paperwork including drafting, reviewIng and editing.Set up legal calendar (for all African Group Team Members) with all important legal dates, contract dates, when to follow up, when loan payments are due, key deadlines, list of contracts or other legal items to sign.Work with and support all HR departments on people related issues, labor law compliance, etc including carrying out an annual employment law training for HR and Managers.Opus/IT – review and work through legal perspective for relevant entities, come up with ideas of how to improve the current contract framework and agreements from legal side.Gap analysis: Review all historical legal agreements, loan agreements, agreements made without paperwork, review corporate legal standing and identify weaknesses and sort them out.Centralize all group companies agreements (current and old) in folders that we have access to and can easily find.Immigration- for Uganda manage the visa and permit process for all expats and Directors as well as coordinating this for any expats in other countries with the in country HR and legal team to make sure it is done and done correctly and on time.Review and fix up all inter-company agreements, put in place those missing – put excel together with list of all docs we have for inter-company.Transfer pricing agreements- coordinate with external consultants/3rd parties.Track legal cases that are ongoing in each company and present updates on these in a monthly report to the Group Africa TeamEnsure any legal paperwork that needs to be done when any changes in the businesses take place is done in a timely and accurate way e.g. new board resolutions, director changes etc.Attention to detail – you need to manage us and be 100% on detail and attention to detail, formats, docs that need to be done, renewals, signatures needed, following up on actions that have been agreed on in meetings at regular intervals before the next meeting etc. etc. The more you push us the better. 90 day KPI’s: Legal Gap Analysis – Put excel together with all group companies and go through each one to ensure we have all legal docs labelled properly and in the right folder easy to find on Box. Then put list of missing documents/agreements and outdated agreements that need amending and a plan to fix any gaps.Sit in meetings (we need to agree on which ones) – take notes, get them out within 24 hours on simple clear template with Action items (name, date included) and old actions follow up. But don’t just send them, follow up with the key people, support us in getting things done and remind operators frequently.Meeting Contributions – contribute in every meeting attended and provide minimum 3 suggestions on items being discussed. These can be legally focused or related to the topics under discussion.At the end of all meetings to provide a quick verbal summary of key actions noted and decisions made so all is clear before Key Attributes Uganda, Kenya, Tanzania, Zambia lawStrong attention to detail in producing documentationBusiness minded, ability to challenge, ask questions and contribute to discussions at board level across the groupAbility to be flexible and adapt to changing circumstances Qualifications Bachelor of Laws or equivalentMinimum 5 years’ experience Applications close 27th August 2023Location: To be based in UgandaSend CV’s to:
